Welcome to the S|Files. Please read the following terms and conditions carefully before registering for or using the S|Files. The S|Files is a paid membership provided by Suzanne’s Files, Inc. (“Suzanne’s Files”) for personal, non-commercial entertainment of its members. A member is an individual who has joined the S|Files through execution of the Membership Agreement with Suzanne’s Files. Membership benefits (the “Services”) include access to Suzanne’s Files website (the “Site”), monthly emails to members, personal virtual folders, Expert Connect™, invitations and special offers to members, and other services as may be added from time to time.

The S|Files is subject to these terms and conditions of use and all modifications thereto ("Terms and Conditions"). BY BECOMING A MEMBER OF THE S|FILES AND USING ITS SERVICES, YOU AGREE TO BE BOUND BY THE TERMS OF THESE TERMS AND CONDITIONS. Suzanne’s Files reserves the right to modify this Agreement at any time without prior notice, effective immediately upon posting on the Site; By using the Services after we post any changes, you agree to accept those changes, whether or not you have reviewed them.

We hope that the S|Files becomes an invaluable resource in making lifestyle decisions related to travel, dining, and other topics that are important to you. However, the decisions you make as a result of the information provided by the S|Files are yours alone, and Suzanne’s Files is not responsible for these decisions or any consequences related to your choices. The text, graphics, images, data, music, sound, video, messages and other material provided through the Services (together "Content") are for informational purposes only. The Content is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Suzanne’s Files does not recommend or endorse any specific procedures, tests, physicians, practitioner, products, procedures, opinions, or other information that may be mentioned on the Content. Reliance on any information provided by Suzanne’s Files, its employees or others contributing to the Content is solely at your own risk.

General Condition
It is a condition of your Membership and use of the Services that you:

  1. Provide true, accurate, current and complete information about yourself as prompted by the subscription form and any registration form. If any information provided by you is untrue, inaccurate, not current or incomplete, Suzanne’s Files reserves the right to terminate your subscription and refuse any and all current or future use of the Services.
  2. Post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent (including any nudity) data, text, pictures, video or any other content.
  3. Post or transmit comments containing harassing or offensive language, including sexual references, sexual nicknames, racial slurs or that violate the standards of good taste or the standards of this Site, as determined by Suzanne’s Files in its sole discretion.
  4. Post or transmit any information, software or other material which violates or infringes the rights of others, including material which is an invasion of privacy or publicity rights or which is protected by copyright, trademark or other proprietary right, without first obtaining permission from the owner or right holder.
  5. Post or transmit any information, software or other material which contains a virus or other harmful component, including but not limited to bots, worms or trojan horses.
  6. Solicit other users to join, become members of, or contribute money to any online service or other organization.
  7. Use the Services to collect personally identifying information about users of the Services.
  8. Not use the Services for anything other than your personal purposes.
  9. Not act in a manner that negatively affects other users' ability to engage in the Services.
  10. Not interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Services.
  11. Intentionally or unintentionally not use the Services for any unlawful purpose or otherwise violate any applicable local, state, national or international law
  12. Not use any robot, spider, other automatic device, or manual process to monitor or copy our Web pages or the content contained thereon or for any other unauthorized purpose without our written consent
  13. Not circumvent the per session user authentication process.

Member Account and Password
You will receive a password upon completing the S|Files registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to:

  1. immediately notify Suzanne’s Files of any unauthorized use of your password or account or any other breach of security, and
  2. ensure that you exit from your account at the end of each session.

Suzanne’s Files is not responsible for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

Termination
The Membership Agreement may be terminated:

  • By you at any time, in accordance to our Refund and Cancellation Policy.
  • By Suzanne’s Files on written notice to the Member if the Member has committed any material breach of the Membership Agreement.
  • By Suzanne’s Files on written notice to the Member if the Member fails to pay any sum(s) due to Suzanne’s Files under the Membership Agreement.

Children
Suzanne’s Files does not permit children under the age of 18 to register or use the Services. By using the Services, you represent and warrant that you are not under the age of 18 and that you have the right, authority, and capacity to enter into this Agreement and to abide by all the Terms and Conditions of this Agreement and that in using the Services you will not violate any applicable law or the rights of any third party. You agree to abide by any such restrictions, and not to help anyone avoid these age restrictions.

Privacy Policy
You consent to the use of personal information you provide to us as described in our Privacy Policy.

Intellectual Property Rights
Suzanne’s Files is the sole owner of all Content. The Content is protected by copyright including without limitation, all applicable U.S. and non-U.S. copyrights, patents, trademarks, and trade secrets, and other intellectual property rights thereto. Any use of the Content not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws. You may not copy, reproduce, publish, publicly display, transmit, alter, or adapt or in any way exploit the Content, except for your own personal, non-commercial use or records, or upon our explicit, written consent. All title and intellectual property rights in and to the content of the Linked Sites, as defined below, is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.

Copyrights and Copyright Agent
Suzanne’s Files respects the intellectual property of others, and we ask our users to do the same. Suzanne’s Files may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of members who may be repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Suzanne’s Files’ Copyright Agent the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  • a description of the copyrighted work or other intellectual property that you claim has been infringed;
  • a description of where the material that you claim is infringing is located on the site;
  • your address, telephone number, and email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

IN NO EVENT WILL SUZANNE'S FILES BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE SUZANNE'S FILES SERVICES OR ANY CONTENT THEREON FOR ANY REASON. Indemnification
You agree to defend, indemnify and hold harmless Suzanne’s Files, its parent, affiliates, directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by you in connection with your use of the Services; (c) any non-compliance by you with the terms and conditions of this Agreement; and (d) claims brought by persons or entities other than the parties to this Agreement arising from or related to your access and use of the Services, including the information obtained through the Services.

Jurisdiction
This Agreement represents the entire agreement between you and Suzanne’s Files and shall be governed by the laws of The Commonwealth of Massachusetts, United States, excepting its conflict of law provisions. Any dispute relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts in The Commonwealth of Massachusetts, U.S.A., and the parties agree to submit to the personal and exclusive jurisdiction and venue of these courts.
